Terms of Use

These terms are the rules for using our websites and buying our products. They apply to every brand operated by Profit Worldwide, Inc. Please read them. If you don't agree, don't use the sites or buy the products.

Who we are

These Terms of Use ("Terms") are an agreement between you and Profit Worldwide, Inc., a Nevada corporation ("PWI," "we," "us," or "our"). PWI owns and operates the following brands, together with their websites, pages, products, programs, communities and services (together, the "Services"):

These Terms apply to XLRHub.com, ChiefRainmaker.com, and any other website, sales page, checkout page, download page, or community space operated by PWI that links to or references these Terms (each a "Site"). Our Privacy Policy and our Disclaimer, including its earnings and affiliate disclosures, are part of these Terms.

Accepting these terms

By visiting a Site, creating an account, opting in, or buying anything from us, you agree to these Terms. If you are using the Services for a company, you confirm you have authority to bind that company, and "you" includes it.

You must be at least 18 years old and able to form a binding contract to use the Services. The Services are not directed to children, and we do not knowingly sell to or collect information from anyone under 18.

Changes to these terms

We may update these Terms from time to time. When we do, we'll change the "Last updated" date above, and for material changes we'll make reasonable efforts to give notice, for example by email or a notice on the Site. Changes apply from the date they are posted. Continuing to use the Services after that means you accept the updated Terms.

Changes to Disputes and arbitration will not apply to any dispute that either of us had notice of before the change was posted. The terms in effect on the date you bought a product continue to govern that purchase.

Accounts and access

Some Services require an account, a login, or a private link. You agree to give accurate, current information and to keep your login details confidential. Access is personal to you. Don't share it, resell it, or let anyone else use it. You are responsible for activity under your account, and you should tell us right away at info@profitworldwide.net if you believe it has been used without permission.

We may change, suspend, or discontinue any part of the Services, and we are not liable if a Site is unavailable for any period. If we discontinue a paid Service you have already paid for and have not received, we will offer you a reasonable substitute or a pro-rated refund.

Products and services

We offer several kinds of products. What you buy is described on its sales page or checkout page, and that description, plus any terms shown at checkout, forms part of your agreement with us. If those offer terms conflict with these Terms, the offer terms control for that purchase.

Digital products

Guides, books, templates, swipe files, prompt libraries, AI skill packs, plugins, and similar files, including the XLR OS library. These are delivered electronically, usually right after payment.

Courses and programs

Self-paced or live training, such as the LinkedIn Recruiting Engine, delivered through recorded lessons, live sessions, or both. Schedules for live sessions may change, and recordings may be provided in place of attendance.

Memberships and communities

Recurring or fixed-term access to groups, rooms, calls, or content. Community access is a privilege that depends on following our community rules.

Done-for-you and consulting services

Where we perform work for you, such as installation, marketing services, or fractional CMO work, a separate written agreement or proposal governs that work. If there is no separate agreement, these Terms apply.

Your license to digital products

When you buy a digital product, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use it for your own personal use or for the internal use of your own business. You don't buy the product itself. You buy the right to use it under these Terms.

You may use the product to create your own content, pages, messages, and marketing, and to serve your own business. Anything you create with the product belongs to you.

You may not, without our written permission:

  • resell, share, give away, sublicense, or post the product, or any substantial part of it, anywhere others can get it;
  • repackage, rebrand, or modify the product and offer it, or a product derived from it, to anyone else, free or paid;
  • install or run the product for clients or other businesses as a service, unless your purchase expressly includes those rights;
  • use the product, or its instructions, frameworks, or prompts, to train, fine-tune, or build a competing AI model, skill library, or course;
  • remove copyright, trademark, or attribution notices.

A license is for one buyer. A team or company that wants multiple users needs a license that covers them. If you breach this section, your license ends automatically and you must delete your copies.

AI tools and AI output

Many of our products, including XLR OS and the OBEYY Protocol, are designed to run inside third-party artificial intelligence platforms, such as Claude by Anthropic. You understand that:

  • you need your own account with the relevant platform, and you are responsible for its fees and for following its terms;
  • we don't control those platforms, and they may change features, limits, pricing, or availability at any time, which can affect how our products work;
  • AI output can be inaccurate, incomplete, outdated, or unsuitable, even when our products are used exactly as instructed;
  • you are responsible for reviewing, fact-checking, and approving any output before you publish, send, or rely on it, including making sure it is truthful, lawful, and compliant with the rules of any platform where you use it;
  • you should not enter information into an AI tool that you don't have the right to share, or that you would not want that tool's provider to process.

PWI is not affiliated with, endorsed by, or sponsored by Anthropic or any other AI provider unless we say so expressly.

Payments and subscriptions

Prices are shown on the relevant sales or checkout page, in U.S. dollars unless stated otherwise, and may change at any time before you buy. Payments are processed by third-party providers such as Stripe and ThriveCart. We don't store your full card details. You authorize us and our payment providers to charge the payment method you provide, including any applicable taxes.

Subscriptions renew automatically at the price and interval shown at checkout until you cancel. You can cancel at any time before your next renewal date, and cancellation stops future charges. Your access continues until the end of the period you have already paid for.

Payment plans are a way of paying a fixed total price, not a subscription. If you choose one, you agree to pay every installment, even if you stop using the product. We may pause or end your access if a payment fails and is not resolved.

If you believe a charge is wrong, please contact us first at info@profitworldwide.net. Most issues are resolved quickly. Filing a chargeback for a purchase you received may result in the loss of access to all Services.

Refunds

Because digital products can be downloaded and kept the moment they are delivered, all sales of digital products are final unless the sales page or checkout page for that product states a guarantee or refund window. Where an offer states one, that stated policy, including any conditions it sets, governs your purchase.

For subscriptions and memberships, you can cancel future renewals at any time, but we don't refund periods that have already started unless the offer says otherwise or the law requires it. Nothing in this section limits any refund rights you have under laws that cannot be waived.

No guaranteed results

We teach methods and provide tools. We do not guarantee that you will earn any income, generate any leads, recruit anyone, or achieve any particular result. Your results depend on your own effort, skill, market, offer, and many factors outside our control. Any examples of results, including our own, are not typical and are not a promise of what you will achieve. Please read our Disclaimer in full.

Nothing in the Services is legal, tax, financial, investment, or medical advice. Consult a qualified professional about your situation.

Affiliate links and our affiliate program

Some links on our Sites and in our emails and content are affiliate links. If you buy through them, we may earn a commission at no extra cost to you. We only recommend products we use or believe in, but you should make your own decision before buying anything.

If you join a PWI affiliate program, a separate affiliate agreement governs your participation, commissions, and promotional conduct. Nothing in these Terms makes you our employee, agent, or partner.

Email and text messages

If you give us your email address, you agree to receive emails from us, including newsletters and offers. You can unsubscribe at any time with the link in any email.

If you give us your mobile number and agree to receive text messages, you consent to receive recurring marketing and informational texts from PWI at that number, which may be sent using automated technology. Consent is not a condition of any purchase. Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time, or HELP for help. Carriers are not liable for delayed or undelivered messages. See our Privacy Policy for how we handle your information.

Intellectual property

The Services and everything in them, including text, frameworks, methods, course material, skill packs, prompts, software, graphics, logos, video, audio, and the design and arrangement of the Sites, are owned by PWI or its licensors and are protected by U.S. and international copyright, trademark, and other laws.

Apart from the license in section 6 and ordinary browsing, you may not copy, reproduce, distribute, publicly display, modify, create derivative works from, or commercially use any part of the Services without our written permission. You may print or save a reasonable number of Site pages for your own non-commercial reference. For permission requests, email info@profitworldwide.net.

If you send us feedback or suggestions, we may use them without any obligation to you.

Trademarks

Profit Worldwide, PWI, Chief Rainmaker, Gil Ortega, XLR, XLR Hub, XLR OS, AffiliateXLR, TravelXLR, LinkedIn Recruiting Engine, OBEYY, OBEYY Protocol, and all related names, logos, product and program names, designs, and slogans are trademarks of PWI or its affiliates. You may not use them without our prior written permission, including in domain names, social handles, ads, or product names.

LinkedIn is a trademark of LinkedIn Corporation. Claude and Anthropic are trademarks of Anthropic, PBC. Stripe, ThriveCart, and all other third-party names and logos belong to their respective owners. Use of those names is for identification only and does not imply any affiliation, sponsorship, or endorsement. The LinkedIn Recruiting Engine is an independent training program and is not affiliated with or endorsed by LinkedIn Corporation.

Acceptable use

You agree to use the Services only for lawful purposes. You agree not to:

  • break any law or regulation, including anti-spam, consumer protection, privacy, and advertising laws, or the terms of any platform you use our methods on;
  • use our materials to send unsolicited bulk messages, run deceptive campaigns, make false or unsubstantiated claims, or impersonate anyone;
  • harm, exploit, or target minors in any way;
  • scrape, crawl, copy, or monitor the Sites with bots or automated tools, or by manual means, without our written permission;
  • attempt to gain unauthorized access to any Site, server, account, or system, or interfere with the Services, including through viruses, malicious code, or denial-of-service attacks;
  • get around payment, access controls, or download limits;
  • do anything that, in our reasonable judgment, could harm PWI, our customers, or the public, or expose any of them to liability.

Communities and your contributions

Some Services include groups, rooms, live calls, comments, or other spaces where you can post or share content ("Contributions"). In those spaces, be respectful, stay on topic, and keep other members' information confidential. Do not post anything that is unlawful, defamatory, harassing, hateful, obscene, misleading, infringing, or that pitches your own offers without our permission.

Your Contributions are not confidential. You keep ownership of them, but you grant PWI a worldwide, royalty-free, non-exclusive license to host, use, reproduce, display, and share them in connection with operating and promoting the Services. You confirm that you have the rights to what you post. Other members can see what you share, so don't share anything you want kept private.

Live sessions may be recorded and shared with other members or used in our training. If you don't want to appear in a recording, turn off your camera and microphone or let us know before the session.

We may remove any Contribution and remove anyone from a community at our discretion. We don't review everything before it is posted and are not responsible for what other members post.

Copyright complaints

We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe material on the Services infringes your copyright, send our Copyright Agent a written notice that includes:

  • your physical or electronic signature;
  • identification of the copyrighted work you believe is infringed;
  • identification of the material you believe is infringing, with enough detail for us to locate it;
  • your name, postal address, telephone number, and email address;
  • a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law;
  • a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.

If you believe your material was removed by mistake, you may send a counter-notice with the information required by 17 U.S.C. § 512(g)(3). Anyone who knowingly misrepresents infringement or a mistaken removal may be liable for damages. We may terminate the accounts of repeat infringers.

Third-party services and links

The Services use and link to third-party websites, tools, and platforms, including payment processors, hosting providers, email and text messaging providers, AI platforms, and social networks. We don't control them and are not responsible for their content, policies, availability, or practices. Your use of them is at your own risk and subject to their terms.

Disclaimer of warranties

The Services, and all products, content, and output obtained through them, are provided "as is" and "as available," without warranties of any kind, express or implied. To the fullest extent permitted by law, PWI disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. PWI does not warrant that the Services, or any file downloaded from them, are free of viruses or other harmful components, or that any AI output will be accurate or suitable for your purposes.

Some jurisdictions don't allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

Limitation of liability

To the fullest extent permitted by law, PWI and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or anticipated savings, arising out of or related to the Services or these Terms, however caused and under any legal theory, even if advised of the possibility of such damages.

Our total liability for all claims arising out of or related to the Services or these Terms will not exceed the greater of (a) the amount you paid PWI in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for fraud or gross negligence where the law does not allow it to be limited.

Indemnification

You agree to defend, indemnify, and hold harmless PWI and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your breach of these Terms, your Contributions, your use of our products or AI output, the content, campaigns, or messages you create or send, or your violation of any law or third-party right.

Disputes and arbitration

Please read this section carefully. It affects your legal rights, including your right to go to court and to join a class action.

Talk to us first

Before starting any formal proceeding, you agree to email info@profitworldwide.net with a description of the dispute and the resolution you want. We'll do the same with you. Both of us agree to try in good faith to resolve it within thirty (30) days.

Binding arbitration

If the dispute isn't resolved, you and PWI agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or its Commercial Arbitration Rules if you bought for a business), applying Nevada law. The Federal Arbitration Act governs this agreement to arbitrate. The arbitration may be held by video or phone, or in person in Clark County, Nevada, or in the county where you live, as the arbitrator decides. Fees are paid as the AAA rules provide.

Exceptions

Either of us may bring an individual claim in small claims court if it qualifies, and either of us may ask a court for an injunction to protect intellectual property.

No class actions

You and PWI each agree to bring claims only on an individual basis, and not as a plaintiff or class member in any class, collective, consolidated, or representative action. The arbitrator may not consolidate claims of more than one person.

Opting out

You may opt out of this arbitration agreement by emailing info@profitworldwide.net within thirty (30) days of first accepting these Terms, with your name, the email address you use with us, and a clear statement that you are opting out of arbitration. If you opt out, section 23 applies to any dispute.

If the class action waiver is found unenforceable for a particular claim, that claim will be decided in court under section 23 and not in arbitration.

Governing law and venue

These Terms and any dispute arising from them or from the Services are governed by the laws of the State of Nevada, without regard to its conflict-of-law rules. Any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Clark County, Nevada, and you and PWI consent to the personal jurisdiction of those courts.

PWI is based in the United States. We make no claim that the Services are appropriate or available in every country. If you use them from outside the United States, you are responsible for complying with your local laws.

Suspension and termination

We may suspend or end your access to any or all of the Services, without notice, if you breach these Terms, misuse a product or community, file an improper chargeback, or act in a way that could harm PWI or others. You may stop using the Services at any time. Sections that by their nature should survive, including those on licenses, intellectual property, payments owed, warranties, liability, indemnification, and disputes, survive termination.

General terms

These Terms, together with the Privacy Policy, the Disclaimer, and any offer or checkout terms, are the entire agreement between you and PWI about the Services, and they replace any earlier understandings on the same subject. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. Headings are for convenience only.
